2.1 WAIVER AND RELEASE OF LIABILITY — PLEASE READ CAREFULLY

 

By purchasing a ticket to any Run, Roast, & Refresh LLC event, you will be required to provide an electronic signature agreeing to a Liability Waiver, Release, and Assumption of Risk before your purchase is completed. That waiver is a legally binding agreement and is incorporated into these Terms by reference.

All ticket purchasers must be 18 years of age or older. By purchasing a ticket on behalf of a minor (any attendee under 18), the purchaser signs the waiver on behalf of that minor and accepts all risks on the minor's behalf.

The waiver covers — but is not limited to — the following:

  • Acknowledgment that participation in all event activities, including the optional 5K fun run/walk on public roads and sidewalks, group fitness classes, cold plunge and recovery stations, and any other physical activity, involves inherent risks of injury, illness, or death;

  • Voluntary assumption of all risks, known and unknown, including risks arising from the negligence of RRR, its owners, staff, volunteers, ambassadors, or partners;

  • Release, waiver, discharge, and covenant not to sue Run, Roast, & Refresh LLC and its representatives from any and all claims arising from participation in any RRR event, including personal injury, death, or property damage, on behalf of the purchaser and any minor in their care;

  • Consent to photography and video recording throughout the entire event venue, and to RRR and its partners using the purchaser's likeness and the likeness of any minor in their care in promotional and marketing content;

  • Consent to emergency medical treatment and 911 being called on the purchaser's behalf and on behalf of any minor in their care;

  • Agreement to indemnify and hold harmless RRR from any third-party claims arising from the purchaser's conduct or the conduct of any minor in their care.

Your completed electronic signature at ticket checkout constitutes your full and binding acceptance of the waiver and these Terms.

2.2 Agreement to Terms

 

These Terms and Conditions ("Terms") govern your use of www.runroastrefresh.com (the "Website") and your participation in any Run, Roast, & Refresh LLC ("RRR", "we", "us", or "our") events. By accessing our Website, purchasing a ticket, or attending an event, you agree to be bound by these Terms in full. All ticket purchasers must be 18 years of age or older. If you do not agree to these Terms, do not use our Website or attend our events.

2.3 Attendance Age Policy

 

RRR events are social wellness events intended for adults. The following age policy applies:

  • All ticket purchasers must be 18 years of age or older.

  • Attendees ages 12 and older must have a valid ticket to attend.

  • Children under the age of 12 may attend free of charge when accompanied by a ticketed adult who is 18 years of age or older.

  • All minors (attendees under 18) must be accompanied by and remain under the direct supervision of a ticketed adult at all times during the event.

RRR is not a children's event. While children are welcome to accompany a supervising adult, RRR does not provide childcare, child-specific programming, or supervision services for minors. The accompanying adult assumes full and sole responsibility for the safety, conduct, and supervision of any minor in their care from arrival to departure.

2.4 Events and Participation

 

a) Voluntary Participation: All participation in RRR events, including but not limited to the optional 5K fun run/walk, group fitness classes, cold plunge stations, and any other physical activities, is entirely voluntary and at your own risk. You are solely responsible for assessing your physical fitness and health before participating in any activity.

b) Medical Clearance: By participating in any physical activity at an RRR event, you represent that you are in suitable physical condition to do so. RRR strongly recommends that you consult a physician before participating in strenuous physical activity, particularly if you have any pre-existing medical conditions.

c) Assumption of Risk: You acknowledge and accept that participation in wellness and fitness activities carries inherent risks, including but not limited to physical injury, illness, or death. You voluntarily assume all such risks, known and unknown, as confirmed by your signed waiver at checkout.

d) Cold Plunge and Recovery Stations: Cold plunge stations at RRR events are operated by PlungeWorx LLC, a separate and independent entity from Run, Roast, & Refresh LLC. Use of cold plunge stations is additionally governed by the PlungeWorx LLC terms included in the liability waiver signed at ticket checkout. RRR is not responsible for the operation, maintenance, staffing, or safety protocols of PlungeWorx cold plunge stations. Any claims arising from cold plunge usage should be directed to PlungeWorx LLC. Cold water immersion carries specific health risks including but not limited to cardiac events, hypothermia, and shock. Do not use cold plunge stations if you have heart conditions, high blood pressure, Raynaud's syndrome, circulatory disorders, or any other condition that may be aggravated by cold exposure. All use of cold plunge and recovery equipment is voluntary and at your own risk. Minors under 18 may not use cold plunge stations or recovery equipment without a supervising parent or guardian physically present.

e) 5K Fun Run/Walk on Public Roads: The optional 5K fun run/walk route may include public roads, sidewalks, and shared-use paths. By participating in the 5K, you acknowledge and accept the additional risks associated with exercising in a public right-of-way, including vehicular traffic, uneven surfaces, and other pedestrian or cyclist hazards. RRR is not responsible for conditions on public roads or sidewalks outside of its control. Participants must obey all applicable traffic laws and follow all RRR course marshals and signage.

2.5 Emergency Medical Consent

 

By attending an RRR event, you consent to the following in the event of a medical emergency:

  • RRR staff and volunteers may call 911 or other emergency services on your behalf without liability to RRR.

  • RRR staff and volunteers may render basic first aid assistance until emergency services arrive. Any such assistance is provided in good faith and RRR is not liable for any outcome resulting from emergency first aid rendered by non-medical staff.

  • You are solely responsible for all costs associated with emergency medical treatment, transportation, and care arising from your attendance at or participation in any RRR event.

  • If you have brought a minor to an RRR event, RRR staff may call emergency services on that minor's behalf and seek emergency medical treatment for that minor without waiting for parental authorization if time is critical.

RRR strongly recommends that attendees with known medical conditions inform a companion or RRR staff member upon arrival. RRR does not guarantee the availability of trained medical personnel at events.

2.6 Not Medical Advice

 

Run, Roast, & Refresh LLC is not a licensed medical provider. Nothing at our events, on our website, through our partners, or in any RRR communication constitutes medical advice, medical treatment, diagnosis, or a substitute for professional medical consultation. All wellness activities, fitness classes, recovery experiences, and health-related partner activations at RRR events are for general wellness and recreational purposes only. Always consult a qualified healthcare provider before beginning any new physical activity or wellness regimen.

2.7 Photography and Video

 

Photography and video recording take place throughout the entire event venue at all RRR events. There are no photography-free zones. By purchasing a ticket and signing the liability waiver at checkout, you expressly consent to being photographed and filmed throughout the event and to RRR and its partners using your likeness in promotional materials, social media content, and marketing. If you do not consent to being photographed or filmed, you should not attend the event.

By purchasing a ticket and bringing a minor to an RRR event, the ticket purchaser expressly consents on behalf of that minor to the same photography and filming terms described above.

2.8 No Alcohol Policy

 

Run, Roast, & Refresh LLC events are alcohol-free. No alcohol may be brought onto the event premises by attendees, partners, or vendors. RRR does not serve, sell, or provide alcohol at any event. Attendees found in possession of alcohol on the event premises may be removed without refund.

2.9 Prohibited Items

 

The following items are prohibited at all RRR events:

  • Alcohol or illegal substances of any kind

  • Weapons of any kind, including firearms, knives, or other items intended to cause harm

  • Outside food or beverages not sold or provided by official event vendors (unless required for medical or dietary purposes — please notify RRR staff upon arrival)

  • Animals other than certified service animals (see Section 2.17)

  • Any item deemed dangerous or disruptive by RRR staff at their sole discretion

RRR staff reserve the right to inspect bags and remove any prohibited items. Attendees who refuse an inspection or are found to possess prohibited items may be removed from the event without refund.

2.10 Code of Conduct

 

All attendees, partners, ambassadors, and staff are expected to conduct themselves in a respectful, inclusive manner at all times. RRR reserves the right to remove any individual from an event without refund for:

  • Threatening, harassing, or abusive behavior toward any person

  • Conduct that endangers the health or safety of others

  • Unauthorized or inappropriate filming or photography of other attendees

  • Possession or use of illegal substances

  • Possession of prohibited items as listed in Section 2.9

  • Any conduct deemed disruptive or inappropriate by RRR staff

     

2.11 Partner and Vendor Activations

 

RRR events feature independent partner and vendor activations operated by third-party businesses. These activations are conducted by independent operators and are not operated, supervised, or controlled by RRR. RRR is not responsible for any injury, illness, adverse reaction, property damage, or other incident arising from your participation in or use of any partner or vendor activation. Each partner and vendor is independently responsible for the safety, staffing, and operation of their activation. All participation in partner activations is entirely voluntary and at your own risk.

2.12 Venue and Parking Disclaimer

 

RRR events may be held at various venues across the Gulf Coast, including third-party facilities. RRR is not responsible for venue conditions, venue equipment, venue rules, venue capacity decisions, or any incident arising from venue infrastructure or property. Attendees are subject to the rules and regulations of the host venue in addition to these Terms. Venue-specific rules are incorporated into these Terms by reference. RRR is not liable for venue-related cancellations, closures, or changes outside of its control.

RRR is not responsible for any incidents, injuries, theft, or property damage occurring in parking areas, adjacent streets, public rights-of-way, or any area outside the designated event footprint. Attendees park and travel to and from events entirely at their own risk.

2.13 Event Cancellation Notification

 

In the event of a cancellation, postponement, or significant change to a scheduled RRR event, RRR will make reasonable efforts to notify ticket holders as soon as reasonably practicable through:

  • Email notification to the address provided at ticket purchase

  • Announcement on RRR's official social media accounts (Instagram, TikTok, and Facebook)

It is the attendee's responsibility to ensure that the email address provided at ticket purchase is accurate and active, and to follow RRR's official social media accounts to receive timely updates. RRR is not liable for any costs, losses, or inconvenience arising from failure to receive a cancellation notification due to an incorrect email address, spam filters, or failure to follow RRR's official social media accounts.

2.14 Limitation of Liability

 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RUN, ROAST, & REFRESH LLC, ITS OWNERS, OFFICERS, EMPLOYEES, VOLUNTEERS, AMBASSADORS, AND PARTNERS SHALL NOT BE LIABLE FOR:

  • Any personal injury, illness, or death arising from participation in any event activity

  • Any injury, illness, or incident arising from participation in partner or vendor activations

  • Any loss, theft, or damage to personal property at or near event venues, including in parking areas

  • Any incidents occurring on public roads, sidewalks, or shared-use paths during the 5K fun run/walk

  • Any outcomes resulting from good-faith emergency first aid rendered by RRR staff or volunteers

  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of our Website or participation in our events

  • Any damages arising from force majeure events, including weather, natural disasters, pandemics, or other circumstances beyond our reasonable control

In no event shall RRR's total liability to you for all claims arising out of or relating to these Terms or our events exceed the amount you paid to attend the specific event giving rise to the claim.

2.15 Indemnification

 

You agree to indemnify, defend, and hold harmless Run, Roast, & Refresh LLC, its owners, officers, employees, volunteers, ambassadors, and partners from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your attendance at or participation in any RRR event; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; (d) any content you submit, post, or share in connection with RRR events or social media; or (e) any incident involving a minor you brought to an RRR event.

2.16 Intellectual Property

 

All content on the RRR Website, including but not limited to logos, wordmarks, mascots, graphics, text, photographs, and videos, is the property of Run, Roast, & Refresh LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any RRR content without our express written permission.

2.17 Service Animals

 

In accordance with the Americans with Disabilities Act (ADA) and applicable Florida law, certified service animals are permitted at all RRR events. No advance notice or pre-approval is required to bring a service animal. RRR staff may only ask two questions: (1) Is this a service animal required because of a disability? and (2) What task has the animal been trained to perform? RRR staff may not request documentation, require the animal to demonstrate its task, or deny entry based on the nature of the person's disability.

Animals that are not certified service animals — including emotional support animals, therapy animals, and pets — are not permitted at RRR events. This policy is driven in part by RRR's insurance coverage, which does not cover animal-related incidents involving non-service animals. Attendees with non-service animals will be asked to remove the animal from the premises. Failure to comply may result in removal from the event without refund.

2.18 User-Generated Content

 

By tagging RRR on social media, using official RRR hashtags, or submitting content through our platforms, you grant RRR a non-exclusive, perpetual, royalty-free license to use, reproduce, and distribute that content for promotional and marketing purposes. You represent that you own or have the right to share any content you submit.

2.19 Ticket Purchases

 

All ticket purchases are subject to our Refund Policy available on our Website. Tickets may only be purchased through our official ticketing platform (TicketSpice). All ticket purchasers must be 18 years of age or older. RRR is not responsible for tickets purchased through unauthorized third-party resellers.

2.20 Event Changes and Cancellations

 

RRR reserves the right to modify event details including but not limited to venue, date, time, format, and activities. Modification or cancellation of individual event elements (such as the 5K run, a specific partner activation, or a fitness class) due to weather or operational circumstances does not constitute a cancellation of the event and does not entitle attendees to a refund or credit. In the event of a full cancellation or date change by RRR, attendees will be notified per Section 2.13 and will receive a credit toward a future event in accordance with our Refund Policy.

2.21 Website Use

 

You agree to use our Website only for lawful purposes. You may not use our Website to: (a) transmit any unsolicited or unauthorized advertising or promotional material; (b) engage in any conduct that restricts or inhibits any other person from using the Website; (c) attempt to gain unauthorized access to any part of the Website or its related systems; or (d) upload or transmit any malicious code or content.

2.22 Third-Party Links

 

Our Website may contain links to third-party websites. These links are provided for your convenience only. RRR has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.

2.23 Entire Agreement

 

These Terms, together with the Liability Waiver signed at ticket checkout, our Privacy Policy, and our Refund Policy, constitute the entire agreement between you and Run, Roast, & Refresh LLC regarding your use of our Website and attendance at our events. These Terms supersede all prior communications, representations, understandings, or agreements — whether written, oral, or electronic — between you and RRR on these subjects. No verbal or written statement by any RRR representative, staff member, volunteer, or ambassador outside of these Terms shall modify, waive, or create exceptions to this agreement unless made in a written amendment signed by an authorized owner of RRR.

2.24 Governing Law and Dispute Resolution

 

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or RRR events shall be resolved exclusively in the state or federal courts located in Escambia County, Florida. You consent to the personal jurisdiction of such courts.

2.25 Severability

 

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

2.26 Changes to These Terms

 

We reserve the right to update these Terms at any time. We will post the updated Terms on our Website with a new effective date. Your continued use of our Website or attendance at our events after any changes constitutes your acceptance of the revised Terms.
